Kuna aina nyingi za kufanya biashara (there are so many forms of doing business) kama vile biashara ya mtu mmoja (sole trade), biashara ya ushirikiano (partnership), vikundi, kampuni, trust n.k.
Kwenye hili andiko nitaongelea mchakato wa kusajili biashara binafsi na biashara ya ubia (registration process of sole trade and partnership business in Tanzania) kwa maana ya procedures (utaratibu) and necessary documents thereto (nyaraka).
Nitaeleza yale mambo ya msingi tu unayohitaji kufanya wakati unapotaka kuanzisha biashara kama mtu binafsi au ubia, hivyo sitaanza na mambo ya kuchagua jina, majina gani yanafaa, au kutafuta eneo, au kuchagua wabia (partners), au kuandaa partnership deed n.k. Tuchukulie hivyo vyote unavyo, sasa unataka kuanza biashara, procedures ni zipi? Na documents ni zipi?

Ukitaka kufungua biashara binafsi (sole trade) au partnership (ubia), basi inabidi ufate hatua zifuatazo:
1: Application for registration of a business name (maombi ya kusajili jina la biashara).
Hatua ya kwanza unatakiwa ku submit application BRELA for registering a business name in a specified form. Unatuma maombi ya kuomba kusajili jina la biashara kupitia fomu maalumu. Soma section 4 of the Business names (Registration) Act and section 11 - 18 of the Business Activities Registration Act.
DOCUMENTS:
Kwa biashara ya mtu mmoja unajaza form number tatu (3), kwa biashara ya ushirikiano (partnership) unajaza form number mbili (2) unalipia na fees, kisha utapewa certificate of registration of a business name.
NB: Business name registration is compulsory if the sole trader or partnership conducts a business under a business name that does not consist in his true name or the true names of all the partners.
Section 4(a) and (b) of the Business names (Registration) Act.
2: Hatua ya pili ni kuomba namba ya utambulisho wa mlipa kodi (application for Taxpayer Identification Number (TIN) kutoka TRA.
Kama ni partnership (ubia), kila mbia (partner) anatakiwa kuomba kupatiwa TIN. Kama tayari una TIN yoyote hutakiwi kuomba nyingine. Utatumia TIN hiyo hiyo.
Maombi ya TIN yanafanyika kupitia fomu maalum (the application for the TIN certificate is made by filling TIN application form).
Application can be made online by visiting TRA website (maombi yanaweza kufanyika kwa njia ya mtandao kupitia website ya TRA).
In your application you must attach the following (ambatanisha vitu vifuatavyo):
-Partnership deed (in case of partnership).
-Copy of certificate of registration kutoka BRELA (nakala ya cheti cha usajili wa biashara kutoka BRELA).
-Lease agreement/title deed (mkataba wa kodi ya pango kama sehemu ya biashara umepanga).
-Introduction letter from local authority (barua ya utambulisho kutoka serikali za mitaa) n.k.
3: Hatua ya tatu ni maombi ya leseni ya biashara kutoka mamlaka au sekita husika (application for business license from the relevant authority). As per section 11 of the Business Licensing Act, kwa mujibu wa kifungu cha 11(1) cha sheria ya leseni za biashara namba 25 ya mwaka 1972 na marekebisho yake.
Leseni ya biashara ni kibali ambacho hutolewa na mamlaka husika kwa mfanya biashara au mtoa huduma. (Kufanya biashara bila leseni ni kosa kisheria).
Leseni za biashara zimegawanyika katika makundi mawili ‘A’ na ‘B.’
Katika kundi A kuna biashara ambazo leseni zake hutolewa na wakala wa biashara na leseni (BRELA). Kundi hili ni leseni zenye mtaji mkubwa.
Katika kundi B ni leseni zinazotolewa na halmashauri za manispaa, halmashauri za majiji, halmashauri za miji na halmashauri za wilaya husika ambapo biashara inafanyika.
Business license is issued by the Ministry of Industry, Trade and Investment (MITI) or BRELA, the Trade office in District, Municipal, City or the Local Government Authorities (LGAs) depending on the type of business.
Leseni za biashara hutolewa na wakala wa usajili wa biashara na leseni (BRELA), au ofisi za Biashara katika halmashauri za wilaya, halmashauri za manispaa, halmashauri za majiji, halmashauri za miji na Wizara ya Biashara na Viwanda, inategemea na aina ya biashara unayotaka kuanzisha au kundi la leseni inayotolewa.
Leseni ya biashara hulipiwa kila baada ya mwaka mmoja toka siku imelipiwa.
Leseni ya biashara lazima itumike kwa biashara na mahali ilipoombwa tu.
Mfanyabiashara mmoja anaweza kuwa na leseni zaidi ya moja kulingana na idadi ya biashara alizo nazo.
DOCUMENT:
Ili kupata leseni ya biashara muombaji unatakiwa kujaza fomu ya maombi ya leseni ya biashara ambayo hupatikana katika halmashauri husika.
Pamoja na maombi yako unatakiwa kuambatanisha nyaraka zifuatazo:
(i) Cheti cha usajili wa biashara.
(ii) Namba ya utambulisho wa mlipa kodi (TIN).
(ii) Hati ya utakaso wa mlipa kodi (tax clearance certificate) kutoka TRA.
(iii) Lease agreement (mkataba wa kodi ya pango) kama sehemu ya biashara umepanga.
(iv) Na nyaraka zote zinazo hitajika ziambatanishwe pamoja na fomu ya maombi.
4: Ukimaliza hayo yote, hatua ya mwisho ni kuanza biashara (to commence business).
